1. Acceptance of Terms
These Terms of Service ("Terms") govern access to and use of the TableTraq platform, websites, software, and related services (collectively, the "Services") provided by TableTraq ("TableTraq," "we," "our," or "us").
By accessing or using the Services, you agree to be bound by these Terms.
If you are using the Services on behalf of an organization, company, convention, or event entity, you represent that you have authority to bind that organization to these Terms.
2. Description of Services
TableTraq provides online event floor management and vendor reservation tools for conventions, trade shows, expos, fairs, and related events.
Features may include:
- interactive floor map management,
- vendor table reservations,
- online payment processing,
- event publishing,
- vendor communications,
- reporting and analytics,
- and organizer administration tools.
We may modify, improve, suspend, or discontinue portions of the Services at any time.
3. Accounts & Access
Users may be required to create accounts to access portions of the Services.
You agree to:
- provide accurate information,
- maintain the security of your credentials,
- promptly update account information,
- and accept responsibility for activity occurring under your account.
You may not:
- share accounts in unauthorized ways,
- attempt to gain unauthorized access,
- interfere with platform operation,
- or use the Services for unlawful purposes.
4. Organizer Responsibilities
Organizers using TableTraq are responsible for:
- the accuracy of event information,
- floor layouts and pricing,
- vendor communications,
- event policies and refunds,
- compliance with applicable laws and venue requirements,
- and fulfillment of event obligations.
TableTraq provides the platform infrastructure but is not the organizer, promoter, or operator of listed events.
5. Vendor Responsibilities
Vendors using the Services agree to:
- provide accurate registration information,
- comply with organizer rules and policies,
- complete payments when reserving tables,
- and refrain from fraudulent or abusive activity.
Reservation agreements between vendors and organizers remain the responsibility of those parties.
TableTraq is not responsible for disputes regarding:
- event quality,
- organizer conduct,
- venue conditions,
- cancellations,
- table assignments,
- or vendor participation.
6. Payments & Fees
Payments processed through the Services may be handled by third-party payment processors.
By submitting payment information, users authorize applicable charges associated with reservations, subscriptions, or related services.
Fees paid through the Services may be:
- non-refundable,
- partially refundable,
- or refundable only under organizer-defined policies.
TableTraq is not responsible for organizer refund decisions unless otherwise explicitly stated.
7. Subscription Services
Certain Services may require paid subscriptions.
Subscription fees, billing terms, and included features may be described separately during signup or ordering.
Unless otherwise stated:
- subscriptions renew automatically,
- fees are billed in advance,
- and cancellations apply to future billing periods only.
We reserve the right to modify pricing with reasonable notice.
8. Acceptable Use
Users may not use the Services to:
- violate laws or regulations,
- infringe intellectual property rights,
- distribute malicious software,
- scrape or harvest platform data,
- interfere with platform security,
- impersonate others,
- or engage in fraudulent activity.
We may suspend or terminate accounts violating these Terms.
9. Intellectual Property
TableTraq and its associated branding, software, interface designs, content, and technology are owned by TableTraq or its licensors and are protected by intellectual property laws.
Except as expressly permitted, users may not:
- copy,
- modify,
- distribute,
- reverse engineer,
- or create derivative works from the Services.
Event organizers retain ownership of their own uploaded content and event materials.
10. Embedded Services & Branding
TableTraq may be embedded within organizer-operated websites.
Unless otherwise agreed in writing:
- organizers retain ownership of their websites and branding,
- and TableTraq may display a discreet “Powered by TableTraq” attribution within embedded experiences.
11. Availability & Service Interruptions
We strive to maintain reliable platform availability but do not guarantee uninterrupted or error-free operation.
The Services may experience downtime due to:
- maintenance,
- updates,
- third-party outages,
- internet failures,
- or circumstances beyond our control.
12. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TABLETRAQ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND AVAILABILITY WARRANTIES.
We do not guarantee:
- event success,
- reservation accuracy under all conditions,
- uninterrupted availability,
- or error-free operation.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TABLETRAQ SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUE, PROFITS, DATA, BUSINESS OPPORTUNITIES, OR EVENT PARTICIPATION.
TABLETRAQ'S TOTAL LIABILITY ARISING FROM THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID TO TABLETRAQ BY THE USER DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
14. Indemnification
You agree to defend, indemnify, and hold harmless TableTraq and its affiliates, officers, employees, and partners from claims arising from:
- your use of the Services,
- your event operations,
- your violation of these Terms,
- or your violation of applicable law or third-party rights.
15. Termination
We may suspend or terminate access to the Services at any time if:
- these Terms are violated,
- fraudulent or abusive activity is detected,
- or continued access creates legal or operational risk.
Users may discontinue use of the Services at any time.
Certain provisions of these Terms survive termination, including:
- payment obligations,
- liability limitations,
- indemnification,
- and intellectual property provisions.
16. Governing Law
These Terms shall be governed by and interpreted under the laws of the State of Michigan, without regard to conflict-of-law principles.
Any disputes arising from these Terms shall be resolved in courts located within Genesee County, Michigan, unless otherwise required by applicable law.
17. Changes to These Terms
We may update these Terms periodically.
Updated Terms become effective upon posting. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
